合同以“负一切法律责任”概括第三方侵权，未区分无效、应诉、费用与退款，责任范围过宽，暂不形成可签署结论。
在以下责任划分明确前，我将暂停实质审查，不判断合同能否签署：
- 分别处理专利无效与权利瑕疵；
- 明确第三方指控的应诉主体与费用承担；
- 列明无效或瑕疵情形下的退款与后果。
请补正侵权与无效责任划分后，我再审签前风险清单与修改建议。
